Preamble and Acceptance
These Terms and Conditions (the “Agreement”) set forth the legally binding terms between you (“the Customer,” “Borrower,” “User,” or “You”) and Medagoras, operated by Digital Agoras Ltd (“the Company,” “Us,” “We,” or “Our”). This Agreement governs your access to and the use of the Medagoras B2B healthcare marketplace and fintech platform, including all related services, digital tools, and the Buy Now, Pay Later (BNPL) Credit Facility.
By accessing, using, or registering an account, you acknowledge that you have read, understood, and accept to be bound by this entire Agreement. This constitutes a legally binding contract, subject to the laws of the Federal Republic of Nigeria. If you do not agree with any part of these Terms, you must immediately discontinue the use of our services.
For the purposes of this Agreement, the following definitions apply:
1.1 Company / Platform:
Refers to Medagoras, operated by Digital Agoras Ltd, providing a digital healthcare marketplace, inventory, logistics, financing, and sales management platform.
1.2 Lender:
The entity providing the Buy Now, Pay Later (BNPL) credit facility, which is Digital Agoras Ltd acting through Medagoras.
1.3 Borrower:
The User, business entity, or institution that has been granted access to the Credit Facility by the Lender.
1.4 Credit Facility (or Facility):
The discretionary line of credit extended by the Lender for procurement of healthcare products, inventory, and related services.
1.5 Outstanding Balance:
The total unpaid amount due to the Lender under the Credit Facility, consisting of the principal debt and any costs necessary for recovery of payment.
1.6 Repayment Period:
The specific time frame within which the Borrower is required to fully repay the utilized Credit Facility.
1.7 Default:
Occurs when the Borrower fails to meet any obligations, including repayment of the Outstanding Balance within the stipulated Repayment Period.
1.8 Reps / Sales Agents:
Individuals authorized to use the Medagoras platform to sell products, manage customer bases, and facilitate transactions.
1.9 Providers / Healthcare Facilities:
Licensed entities including pharmacies, hospitals, clinics, and patent medicine stores that purchase products through Medagoras.
1.10 Suppliers / Distributors / Manufacturers:
Licensed entities that provide products to Medagoras for distribution through the marketplace or platform-managed inventory.
2.1 Scope of Service and Warranties
Medagoras operates a B2B and B2C digital marketplace and fintech platform designed to connect healthcare providers, reps, and suppliers. Our services include:
Product listings, procurement, and order management
BNPL financing for approved users
Reps management and sales tracking
Inventory tracking and delivery management
Medagoras facilitates these services but is not responsible for manufacturer defects or errors beyond its reasonable control.
2.2 Mandatory Professional Licensing and Eligibility
Our platform is exclusively for licensed healthcare providers and legitimate business entities. To register and maintain an account, valid regulatory documents must be provided:
Pharmacies: CAC Certificate + Pharmacists Council of Nigeria (PCN) Premises and Practicing License
Hospitals/Clinics: CAC Certificate + Medical and Dental Council of Nigeria (MDCN) license + relevant facility licenses
Patent Medicine Stores/Chemists: CAC Certificate + PPMVL issued by PCN
The Company reserves the right to deny service or terminate accounts that do not meet these requirements.
2.3 User Representations and Warranties
By using the platform, you represent and warrant that:
You are at least 18 years old and of sound mind
All information provided is accurate and complete
You comply with all applicable laws and regulations
2.4 Prohibited Activities
Users shall not:
Breach any applicable laws
Circumvent platform security
Make payments outside of the Medagoras platform
3.1 Account Security
You are responsible for maintaining confidentiality of your account login credentials and must notify us immediately of any unauthorized use.
3.2 KYC and Verification
Medagoras may verify your information against business registration, contact info, and identification documents to comply with Know Your Customer (KYC) requirements. Data handling and consent are detailed in the separate Privacy Policy.
4.1 Product Availability and Inventory Management
Products are subject to availability. Medagoras manages platform inventory and direct supplier inventory to ensure optimal distribution and access.
4.2 Order Placement and Confirmation
Orders can be placed through the platform or uploaded as written orders. A binding sale occurs only when Medagoras reviews, confirms, and accepts the order.
4.3 Policies for Controlled Substances
In compliance with Nigerian regulations, controlled substances are not sold online. Inquiries for procurement must be directed to Medagoras.
5.1 Dynamic Pricing and Order Acceptance
All prices are subject to change. Final pricing is confirmed upon acceptance of orders by Medagoras.
5.2 Payment Obligations and Financial Terms
Exclusive Payment Method: All payments must be made via the Medagoras Virtual Wallet.
Wallet Withdrawals: Processed within 2–10 business days.
Dispute Period: Any transaction disputes must be raised within 30 days.
6.1 Delivery Timelines
While Medagoras offers nationwide delivery, primary service areas for efficiency are Lagos and Ogun State. Estimated delivery: 2–7 business days.
6.2 Handling Delays
Significant delays will be communicated promptly, and tracking tools are available.
6.3 Mandatory Inspection
All deliveries must be inspected immediately. Claims for damages or shortages must be reported within 6 hours of receipt.
7.1 Eligibility, Limits, and Facility Acceptance
Credit limits are discretionary and periodically reviewed. Maximum limits:
Chemists/Patent Medicine Stores: ₦500,000
Pharmacies: ₦1,000,000
Hospitals/Institutions: ₦2,000,000
First-time borrowers may provide postdated cheques or payment undertakings. Enhanced verification applies to higher limits.
7.2 Borrower Obligations
Repayment via Virtual Wallet
Interest-free facility, no late fees
Security interest in purchased products until full repayment
7.3 Consequences of Default
Repossession of inventory if unpaid
Acceleration of debt
Credit reporting to agencies
Collection costs borne by Borrower
All platform software, logos, and features remain property of Medagoras / Digital Agoras Ltd
User-submitted content grants Medagoras a royalty-free license to use and publish worldwide
Medagoras is not the manufacturer of products
Platform is provided “AS IS”, with no implied warranties
Liability is limited to refund of purchase price
Users indemnify Medagoras against breach or illegal use
Governed by Nigerian law, courts of Ogun State
Complaints must first be raised internally for 30 days
Arbitration at Lagos Court of Arbitration if unresolved
Force Majeure: Medagoras not liable for events beyond control
Changes to Terms: Medagoras may update terms at any time
